THIS TERMS OF USE AGREEMENT (the “Agreement”) constitutes a legally binding agreement by and between Optimism LTD, a limited liability company organized under the laws of the State of Colorado (“Optimism dba Preset.Design”) and the client, whether personally or on behalf of an entity (“Client”), with regard to access and use of Optimism LTD's website: [https://www.preset.design/ (the “Website”) and any other media form, channel, mobile website or mobile application related, linked or otherwise connected thereto.
Failure to agree and adhere to all of the terms, conditions and obligations contained herein results in the express prohibition of the Client’s use of the Website, and the Client is ordered to discontinue use immediately. Thereafter, the relationship between Client and Optimism LTD shall cease and be of no further force and effect between the parties, except that any obligation of Client to pay Optimism LTD for services rendered shall remain and continue to be an ongoing obligation owed by Client to Optimism LTD.
Unless otherwise indicated, the Website is the property of Optimism LTD and all source code, databases, functionality, software, website designs, audio, video, text, photographs and graphics (the “Content”) and any trademarks, service marks, and logos (the “Marks”) are owned and controlled by Optimism LTD and are protected by applicable laws. Content and Marks are provided “as-is” for personal use only and may not be used commercially without prior written consent.
Except for Submissions described in Section 4, all design and original source files created for Client (“Projects”) belong to Client. If any law would otherwise grant ownership to Optimism LTD, such rights are assigned to Client. Client warrants that all materials provided do not infringe third-party rights. Optimism LTD reserves the right to showcase work publicly unless otherwise agreed (see Section 19).
If Projects use fonts requiring commercial licenses, Optimism LTD will notify Client. Client is responsible for securing appropriate licenses.
By using the Website, Client represents that they are legally capable, not a minor, will comply with laws, and will not misuse the Website.
Client agrees not to misuse or interfere with Website functionality, security, or operations, nor to violate applicable law.
Any feedback or suggestions become the property of Optimism LTD, except as related to Project ownership in Section 2.
Optimism LTD may monitor, restrict, or terminate Website access at its discretion.
Use of the Website constitutes acceptance of the Privacy Policy. Data may be processed in the United States. Optimism LTD does not knowingly collect information from persons under 18.
Refunds are discretionary. If refunded within the first month, produced materials remain property of Optimism LTD and cannot be used. A 25% fee may apply and payment processor fees are non-refundable.
Optimism LTD may modify Website content or discontinue features without notice.
The Website may experience downtime beyond [Short Company Name]’s control. Optimism LTD is not liable for resulting inconvenience or loss.
These Terms are governed by the laws of the State of Colorado.
Any legal action shall be brought in the courts of Boulder, Colorado, or the U.S. District Court for Colorado.
Website is provided “as-is.” Optimism LTD disclaims liability for inaccuracies, data breaches, viruses, interruptions, or third-party offerings.
Optimism LTD is not liable for damages arising from Website use. Client agrees to indemnify Optimism LTDfor claims resulting from misuse or violations.
Client is responsible for their transmitted data. Optimism LTD is not liable for loss or corruption.
Client agrees to electronic communication, records, and signatures as legally valid.
Client is responsible for content licensing used on their platforms unless otherwise agreed in writing.
Preset.design, brandonarthur.xyz may display work publicly unless prohibited by NDA.
These Terms constitute the entire agreement. Invalid provisions do not affect remaining terms. No partnership or agency relationship is created.
